Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and KillStock governing your access to and use of our websites, applications, and services (the "Services"). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy.

If you use the Services on behalf of an organisation, you represent that you are authorised to accept these Terms for that organisation, and “you” refers to that organisation.

You must be capable of forming a binding contract to use the Services. You are responsible for all activity under your account and for keeping your credentials secure. You must provide accurate information and promptly update it, and notify us of any unauthorised use.

We offer free and paid plans and optional add-ons. Paid subscriptions are billed in advance on the cycle you select (monthly or yearly) and, unless cancelled, renew automatically for the same period.

Fees are exclusive of taxes (including GST) unless stated otherwise; you are responsible for applicable taxes. Except where required by law, fees are non-refundable. We may change pricing on a prospective basis with reasonable advance notice.

You agree not to misuse the Services — including by breaking the law, infringing others' rights, uploading malicious code, attempting to gain unauthorised access, probing or load-testing without permission, reselling the Services without authorisation, or interfering with their integrity or performance.

You retain all rights to the data you put into the Services (“Customer Data”). You grant us a limited, worldwide license to host, process, and transmit Customer Data solely to provide and support the Services and as instructed by you. You are responsible for the lawfulness of Customer Data and for having the necessary rights and consents to provide it.

Where we process personal data within Customer Data on your behalf, our Data Processing Addendum applies.

The Services, including all software, content, and trademarks (other than Customer Data), are owned by KillStock or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. Feedback you provide may be used by us without restriction.

The Services may interoperate with third-party products (for example, payments, messaging, or analytics). Your use of those products is governed by their terms, and we are not responsible for them.

We work to keep the Services available and provide reasonable support, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance, and we may modify, suspend, or discontinue features, giving reasonable notice of material changes where practicable.

We may suspend or limit access to the Services if we reasonably believe there is a security risk, a violation of these Terms or the law, non-payment, or a need to protect the Services or other users. Where feasible we will give notice and an opportunity to remedy.

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will meet your requirements or be uninterrupted, secure, or error-free.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data. Our aggregate liability arising out of or relating to the Services is limited to the amounts you paid us for the Services in the twelve months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited or excluded under applicable law.

You agree to indemnify and hold us harmless from claims, damages, and reasonable costs arising from your Customer Data, your use of the Services in breach of these Terms, or your violation of law or the rights of a third party.

These Terms apply while you use the Services. You may stop using the Services and cancel your subscription at any time. Either party may terminate for material breach not cured within a reasonable period. On termination, your right to use the Services ends; you may export Customer Data during a grace period, after which we delete or anonymise it except where retention is required by law.

We may update these Terms from time to time. We will post the updated version with a new effective date and give reasonable notice of material changes. Continued use after changes take effect constitutes acceptance.

These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Subject to applicable law, the courts at our principal place of business in India have exclusive jurisdiction, and the parties will first attempt to resolve disputes in good faith.
